GoPro Agrees to Merge With Starman Optical

09:47 AM EDT, 09/01/2026 (MT Newswires) -- GoPro (GPRO) and optical-photonics company Starman Optical said Tuesday that they have signed a definitive merger agreement. Under the terms of the deal, GoPro shareholders will receive $1.14 per share, for a total of $285 million in cash, and will retain about a 10% stake in the combined company. GoPro said its roughly $92 million of outstanding debt will be repaid in full at closing, which will result in a "substantially debt-free balance sheet." GoPro said the merger will expand its business into data center, government, defense and aerospace markets. Shares are due to resume trading at 10 am ET.
