MiniMed Files S-4 as Medtronic Seeks to Exit Remaining Stake

08:09 AM EDT, 09/14/2026 (MT Newswires) -- MiniMed (MMED) filed a Form S-4 with the Securities and Exchange Commission for Medtronic's (MDT) offer to exchange up to 225.4 million MiniMed shares, the company said Monday. Medtronic, which owns about 89.86% of MiniMed, plans to exchange its shares for tendered MiniMed stock and, if oversubscribed, its remaining 27.5 million shares. If the exchange offer and related transactions are completed, Medtronic will no longer hold an equity stake in MiniMed, the company said. MiniMed shares were down 4.5%, while Medtronic shares were up 3.5% in premarket activity.
