Snowflake Prices Upsized $3.75 Billion Private Debt Offering

04:11 AM EDT, 09/29/2026 (MT Newswires) -- Snowflake (SNOW) has priced a $3.75 billion private placement of 0% convertible senior notes, upsized from a previously planned $3.5 billion, the company said Tuesday. The offering comprises $2 billion of notes due 2029 and $1.75 billion of notes due 2031. Initial purchasers have an option to buy up to an additional $300 million of the 2029 notes and up to an additional $250 million of the 2031 notes. The company expects the offering to close Thursday and plans to use part of the estimated net proceeds of about $3.70 billion to fund certain capped call transactions and for share repurchases, it said.
